1. Definitions

"Resource" — any digital good, script, asset, module, plugin, or software made available through the Services, including FiveM and RedM resources.
"License" — the limited right to use a Resource granted under this notice.
"Authorized Server" — a game server or environment permitted by your License and its server/seat limits.
"Licensor" — [COMPANY NAME] or, for reseller-supplied Resources, the reseller that supplies them.

2. Licenses, not sales

All Resources are licensed, not sold. No title, ownership, or intellectual-property right in any Resource transfers to you. You receive only the limited, revocable rights expressly granted in this notice. All rights not expressly granted are reserved by the Licensor and its licensors.

3. Grant of license

Subject to your continued compliance with these terms and payment of all applicable fees, the Licensor grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to install and use the Resource solely on your Authorized Server(s), solely for its intended purpose, and solely for the number of servers/seats permitted by your License. A License is tied to your account and license key and may be bound to a specific server identity; binding or activation limits may apply.

4. FiveM and RedM resources — "lifetime" and subscription licenses

This Section applies to every FiveM and RedM Resource offered through the Services, whether sold as a one-time "lifetime" license or as a recurring subscription license:

Provided "AS IS". Each Resource is provided strictly on an "AS IS" and "AS AVAILABLE" basis, without warranty of any kind, express or implied, and without any guarantee of functionality, compatibility, performance, uptime, updates, support, or continued availability. Game and platform updates may affect or break a Resource, and the Licensor has no obligation to maintain, update, or repair it.
A USE license only. You are granted a limited right to use the Resource on your Authorized Server(s). This is not a sale and does not transfer ownership of the Resource or of any intellectual property in it. You acquire no proprietary rights.
Revocable at any time. The License — including any License described as "lifetime" — may be suspended, disabled, or revoked at any time, with or without cause and with or without notice, including (without limitation) for breach of these terms, non-payment, chargeback or payment dispute, fraud, abuse, prohibited use, redistribution, decryption, deobfuscation, reverse engineering, circumvention of licensing or protection, violation of game-platform rules, or at the Licensor's sole discretion.
Meaning of "lifetime". "Lifetime" refers only to the absence of a recurring fee for so long as the License remains valid and the Resource continues to be offered. It does not mean perpetual, irrevocable, guaranteed, or ownership rights; it does not guarantee any particular period of availability; and it does not survive revocation, termination, or discontinuation of the Resource or the Services.
Subscription licenses. A subscription License lasts only while fees are paid and the subscription is active, and ends on cancellation, non-payment, or revocation.
No transfer or resale. You may not transfer, resell, sublicense, lend, rent, or share a License or a Resource except where expressly authorized in writing.

5. Restrictions

You may not, and may not permit anyone to: (a) copy, publish, distribute, resell, sublicense, or share the Resource or any license key; (b) decrypt, deobfuscate, decompile, disassemble, or reverse engineer the Resource, or attempt to derive its source; (c) remove, disable, bypass, or circumvent any licensing, verification, metering, watermarking, or protection mechanism; (d) use the Resource beyond your permitted server/seat limits; (e) modify the Resource except as expressly permitted; (f) use the Resource for any unlawful purpose or in violation of any third-party or game-platform rule (including Cfx.re / FiveM / RedM terms); or (g) use the Resource to develop a competing or substantially similar product.

6. License enforcement and verification

Resources may include licensing and verification mechanisms that communicate with the Platform to validate the License, bind it to an Authorized Server, and enforce limits. You consent to this verification. On suspension, revocation, expiry, non-payment, or breach, the Resource may stop functioning in whole or in part, with or without notice. No refund is owed for a License suspended or revoked for cause, and revocation does not relieve you of amounts owed.

7. Updates and support

The Licensor may, but is not obligated to, provide updates, fixes, or support for any Resource. Any updates provided are part of the Resource and subject to this notice. The Licensor may change, deprecate, or discontinue a Resource at any time.

8. Reseller-supplied resources

Where a Resource is supplied by a reseller, the reseller is the Licensor for that Resource and is one hundred percent (100%) responsible for it and for its customers, including support, refunds, compliance, and license terms consistent with this notice. The Platform may nonetheless suspend, disable, or revoke any Resource or License operating on the Platform as described above.

9. Ownership and intellectual property

The Resource and all intellectual-property rights in it remain the exclusive property of the Licensor and its licensors. Unauthorized use, copying, or distribution is a violation of these terms and applicable law and may result in immediate revocation and legal action. Intellectual-property complaints may be sent to [SUPPORT EMAIL].

10. Acceptable use

You may not use any Resource or Service to: break the law; infringe third-party rights; distribute malware or malicious code; harass, defraud, or harm others; interfere with or disrupt the Platform, its networks, or other users; evade bans, licensing, or verification; or violate any game-platform or third-party rules. Violations may result in immediate suspension or revocation of Licenses and termination of access, without refund.

11. Chargebacks and fraud

Initiating a chargeback or payment dispute, or engaging in fraud, will result in immediate revocation of all affected Licenses and may result in termination of your Account, in addition to any other remedies available to the Licensor.

12. Disclaimer of warranties; limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL LICENSES AND RESOURCES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, AND THE LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM THE USE, INABILITY TO USE, UNAVAILABILITY, SUSPENSION, OR REVOCATION OF ANY RESOURCE OR LICENSE. The liability limits and other provisions of the Terms & Conditions apply to this notice.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Licensor from any claim, loss, or liability (including reasonable legal fees) arising out of your use of any Resource or your breach of this notice.

14. Changes

The Licensor may update this notice at any time. Continued use of a Resource after changes take effect constitutes acceptance.

15. Governing law and venue

This notice is governed by the laws of the State of Ohio, and all proceedings relating to it shall be brought exclusively in the state or federal courts located in Summit County, Ohio, as set out in the Terms & Conditions.
